Terms and Conditions
Enhancement Opportunities are offered on a first-come, first-served basis. SOT reserves the right to change inventory limits and to offer some opportunities on a first-right-of-refusal basis.
Enhancement Opportunities reservations are subject to SOT review and approval. If a reservation is not approved by SOT, a notification will be sent, and the reservation may be subject to cancellation. If the reservation is canceled by SOT and a payment has been made, a refund will be issued. SOT does not accept cancellations or changes by the contracting organization once the reservation has been submitted.
If payment is not made at the time of reservation with a credit card, an invoice will be sent when the reservation is approved. All invoices are due within thirty (30) days of the invoice date. SOT reserves the right to cancel any reservation if payment is not made by the required due date, and any outstanding account balance must be paid in full for the reserved items to be fulfilled. All invoices must be paid in US currency either by credit card, organization check, or wire transfer. Credit card payments can be made online through the Accounting/Financials page in the organization’s Service Center. If payment is made by wire transfer, the organization is responsible for any wire transfer fees. A confirmation email will be sent when a payment has been processed.
All content and artwork for the Enhancement Opportunities is subject to SOT review and approval prior to fulfillment and must adhere to published specifications and deadlines, which are included in the Enhancement Opportunities Gallery. Content that promotes journals, awards, membership recruitment, or any other program that competes with SOT programs and resources will not be accepted. However, SOT does allow toxicology-related “sister societies” to raise awareness about their meetings and journal subscriptions via the SOT website. SOT reserves the right to reject any submitted content or artwork as deemed necessary. If rejected content or artwork is not rectified by the organization prior to production deadline, SOT has the right to cancel the order, and no refund of payment will be issued.
SOT will not be liable for typographical errors or incorrect artwork, insertions, positions, or omissions. SOT shall have full positioning latitude for submitted content unless a guaranteed position has been mutually agreed upon. SOT will make every effort to ensure correct positioning of content.
Submitted content published in SOT publications, including website, is and remains the property of SOT, and it may be used by SOT in all media, whether now in existence or hereafter developed, in which the content is published, reproduced, displayed, distributed, or transmitted in whole or in part. Photographic or other reproductive submitted content, in whole or in part, may not be used in any other medium without the express written consent of SOT.
The contracting organization agrees to indemnify SOT for all expenses incurred in connection with the collection of amounts payable, including court costs and attorney’s fees.
If an advertising agency places an Enhancement Opportunities reservation on behalf of an organization, such agency warrants and represents that it has authority to place such reservation. The organization and its agency each agree to be jointly and severally liable for all charges associated with the reservation placed.
All contracts are conditional on strikes, fires, acts of God or the public enemy, war, or any cause not subject to the control of SOT, excluding the contracting organization’s failure or inability to perform.
These terms and conditions shall govern the relationship between SOT and the contracting organization and/or advertising agency. Unless expressly agreed to in writing by SOT, no other terms or conditions in contracts, reservations, orders, copy instructions, or otherwise shall be binding on SOT.
